The firm is controlled of a board of 9 members elected at a general meeting and the project leader, who has no voting in the Board
At the General Assembly there will be elected 5 members among employees, that have shares. 4 members is chosen from outside shareholders, who before General Assembly has paid off a share of 1000 kr.
Half of the elected members retire by rotation, the first time by lot. Reelection is possible.
The Board elects its chairman and vice chairman.
The Board meets the first wednesday of each quarter. In addition, so often the chairman or at least 4 members want it. The Board is convened with a 14 days written notice.
The Board is quorate when 4 members are present.
Decisions are made by simple majority. In the case of tie, the Chairmans vote is decisive.
All decisions are put into a negotiation protocol, signed by the members present.
The Cooperative is represented by the President, Vice President and Project Manager
Board members are not personally liable for the debts accumulated in the company.
